Rules of service, responsibilities of the parties, and limitations of liability for the use of Ifleetmanagement.com Intralogistics Automation telematics and AGV dispatch systems.
Ifleetmanagement.com provides a cloud-based telematics network and automated guided vehicle (AGV) dispatch framework for industrial warehouses. The service includes real-time sensory matrix integration, proximity radar data processing, and material transit flow optimization. Access is granted upon acceptance of these terms and payment of applicable fees.
You agree to use the service only for lawful intralogistics operations within your own facilities. You must maintain the confidentiality of your login credentials and notify us immediately of any unauthorized use. You are responsible for ensuring that your warehouse infrastructure is compatible with our AGV dispatch framework and proximity radar arrays.
All software, firmware, documentation, and data generated by the telematics network and AGV dispatch framework remain the exclusive property of Ifleetmanagement.com. No license is granted to reproduce, modify, or reverse-engineer any component of the service without prior written consent.
Ifleetmanagement.com shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the service, including but not limited to loss of production, damage to goods, or injury to personnel. Our total liability for any claim is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim.
The service is provided "as is" without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the telematics network or AGV dispatch framework will be uninterrupted, error-free, or secure against all external threats.
Either party may terminate this agreement with 30 days' written notice. Ifleetmanagement.com may immediately suspend or terminate your access if you breach any material term of these terms, including unauthorized use or non-payment. Upon termination, you must cease all use of the service and return or destroy any proprietary materials provided.
We reserve the right to modify these terms at any time. Changes will be communicated via email to the address on file and posted on our website. Continued use of the service after the effective date of changes constitutes acceptance of the updated terms.
These terms are governed by the laws of India. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra.
